Terms of Service

1. Who these terms apply to
These terms govern your use of riot.studio and any engagement with RIOT Studio. Project work is also governed by a separate Statement of Work signed by both parties — where the SoW conflicts with these terms, the SoW wins.
2. Quotes and fees
Quotes are valid for 30 days. Project work requires a 50% deposit to start, with the balance due on launch. Sub-£500 builds are paid 100% up front. Late invoices over 30 days accrue 4% above the Bank of England base rate per the Late Payment of Commercial Debts Act 1998.
3. Scope and revisions
Each project includes the rounds of revisions stated in the SoW. Additional revisions or out-of-scope work are quoted separately at £75/hour and require written approval before we start.
4. Client responsibilities
You agree to provide content, brand assets, feedback and approvals in a timely manner. Projects paused by the client for more than 30 days may be subject to a re-start fee equal to 10% of the project total.
5. Ownership and IP
On full payment, you own the final website code, design files and copy created specifically for your project. We retain ownership of internal frameworks, libraries and pre-existing components, licensed to you perpetually as part of your build. We retain the right to display the work in our portfolio unless explicitly agreed otherwise.
6. Hosting and domains
Hosting and domain registration are paid by you directly to the provider. We don't mark them up. We can manage them for you under a Care Plan.
7. Care Plans
Care Plan subscriptions are monthly rolling and can be cancelled with 30 days' notice. They cover hosting management, security, backups and small content edits as defined in the plan tier.
8. Liability
Our total liability under any project is capped at the total fees paid by you for that project. We are not liable for indirect or consequential losses, loss of profit, loss of revenue or loss of data.
9. Termination
Either party may terminate a project for material breach with 14 days' written notice if not remedied. On termination, you owe fees for work completed up to the termination date.
10. Governing law
These terms are governed by the laws of England and Wales. Any dispute is subject to the exclusive jurisdiction of the courts of England and Wales.
